IMPORTANT NOTICE - PROPRIETARY COMMERCIAL SOFTWARE & NO-REFUND TERMS:

Werkora is closed-source, proprietary commercial Software-as-a-Service (SaaS). Subscribing to or accessing the Service grants your organization a limited, non-exclusive, revocable right to access the hosted platform. A 1-month (30 days) evaluation trial is provided for a one-time fee of ₹999; the trial fee and all subsequent commercial payments, subscription fees, and unit charges are strictly non-refundable. Customer business and manufacturing data remains 100% the exclusive property of your organization.

1. Agreement & Scope of Service

This Master Services Agreement ("Agreement") is a legally binding contract between Werkora Technology (Sole Proprietorship of Abhishek Kumar, GSTIN: 09FKRPK3676J1Z9, registered at 50, Block Z, Sector 12, Noida, Gautam Buddha Nagar, Uttar Pradesh - 201301, India, "Werkora", "we", "us", or "our") and the organization or entity ("Customer", "you", or "Tenant") registering for or using the Werkora Manufacturing ERP platform ("Service").

By checking the consent box during registration, signing an enterprise order form, or accessing the Service, you represent and warrant that you have full legal authority to bind your organization to these Terms. If you do not agree to these terms, you must not access or use the Service.

2. Intellectual Property & Proprietary Rights

2.1 Exclusive Werkora Ownership: Werkora and its licensors retain all right, title, and interest (including all patent, copyright, trademark, trade secret, database rights, and other intellectual property rights) in and to the platform, backend APIs, relational schemas, user interface design system, algorithms (including Available-to-Promise calculations and FIFO stock lot valuations), workflows, and all documentation.

2.2 No Open-Source Grant: The Service is provided solely as closed-source proprietary software. No open-source, copyleft, or source-disclosure license applies to the platform.

2.3 Prohibited Conduct: Customer shall not, directly or indirectly: (a) decompile, disassemble, reverse engineer, or attempt to derive the source code of the Service; (b) copy, modify, distribute, or create derivative works of the Service; (c) lease, sublicense, resell, or provide access to the Service to unauthorized third parties; or (d) benchmark or test the Service for the purpose of creating a competing manufacturing software product.

3. Customer Data Ownership & Security

3.1 Sole Customer Ownership: Customer owns all right, title, and interest in and to all electronic business data, manufacturing work orders, batch inventories, bills of materials, employee rosters, dispatch records, client/vendor ledgers, and financial entries inputted into the Service ("Customer Data").

3.2 Limited Operational Processing: Customer grants Werkora a non-exclusive, royalty-free license to host, store, copy, and process Customer Data strictly to the extent necessary to deliver the Service, execute automated disaster recovery backups, and fulfill legal obligations. Werkora will never sell, monetize, or use Customer Data for advertising or AI model training.

3.3 Multi-Tenant Isolation: Customer Data is logically and architecturally isolated using strict organization identifiers (`org_id`) enforced across all database queries and access control layers.

4. 1-Month Trial, Subscriptions & Billing

4.1 1-Month Paid Trial (₹999): New self-service workspaces commence with a 1-month (30 days) evaluation trial for a one-time non-refundable fee of ₹999. The trial provides full operational access to all 19 manufacturing modules across up to 3 factory units and 30 users. Because complete enterprise software infrastructure is immediately provisioned upon payment, the ₹999 trial fee is strictly final and non-refundable. Upon expiration of the 1-month (30-day) period, operational access will be locked until a commercial subscription is activated.

4.2 Subscription Fees: Following the trial, subscription fees are billed in advance according to the selected commitment term (quarterly, semi-annually, or annually) as published on our pricing page.

4.3 Indian Goods & Services Tax (GST): For Indian customers, fees are subject to statutory GST (18% under SAC 997331 / 998314). Invoices are issued with appropriate CGST, SGST, or IGST breakdowns based on the registered Place of Supply.

4.4 Unit-Based Subscription: Werkora pricing is unit-based (minimum 3 factory units, each including 10 active user accounts) with predictable flat rates rather than per-seat licensing taxes. Additional units can be provisioned at the published unit rate.

4.5 Payment Gateway & Strict No-Refund Policy: All digital transactions, trial fee payments (₹999), subscription renewals, and unit upgrades are processed securely through our authorized payment gateway partner, Razorpay Software Private Limited. Because full access to all ERP modules is provided during the ₹999 1-month evaluation trial, ALL PAYMENTS MADE TO WERKORA TECHNOLOGY ARE STRICTLY FINAL AND 100% NON-REFUNDABLE. Customer may cancel recurring renewals at any time to prevent subsequent billing, but under no circumstances will fees or trial payments already processed be refunded, pro-rated, or converted into cash credits. 5. User Accounts & Access Governance

5.1 Role-Based Access Control (RBAC): Workspace administrators can configure user roles (`owner`, `manager`, `store`, `accountant`, `operator`, `viewer`) and factory unit scopes. Customer is responsible for managing member invitations and maintaining the confidentiality of user credentials.

5.2 Security Credentials: Each member must maintain strong passwords. Passwords are cryptographically salted and hashed via scrypt; Werkora staff cannot view plaintext passwords.

6. Acceptable Use Policy (AUP)

Customer agrees not to use the Service: (a) for any illegal, fraudulent, or unauthorized purpose; (b) to conduct vulnerability scans, denial-of-service tests, or penetration tests without prior written consent; (c) to upload malicious software or corrupt files; or (d) to bypass rate limits or multi-tenant boundaries.

7. Service Level Commitments & Maintenance

7.1 Availability Benchmark: Werkora targets a 99.5% monthly service availability for Managed Cloud instances, excluding scheduled maintenance.

7.2 Scheduled Maintenance: Routine updates, security patches, and database optimizations are performed during off-peak windows (typically weekends or between 00:00 and 04:00 IST) with advance notification when downtime is anticipated.

8. Data Protection & Regulatory Compliance

Both parties agree to comply with applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDPA). Where Werkora processes personal data of factory employees, contractors, or customers on behalf of the Tenant, the terms of our Data Processing Agreement (DPA) shall apply.

9. Term, Suspension & Data Export

9.1 Termination: Customer may cancel their subscription at any time via workspace Settings.

9.2 Post-Termination Export Window: Upon cancellation or expiration, Customer is provided a statutory 30-day grace period to export all inventory, sales, production, and accounting data via standard CSV/JSON export tools. Following the 30-day period, tenant data is queued for permanent, irreversible cryptographic deletion.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, neither party shall be liable for indirect, incidental, punitive, or consequential damages (including loss of business profits or manufacturing downtime). Werkora's total aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by Customer to Werkora in the twelve (12) months preceding the claim.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be referred to and finally resolved by arbitration in Noida, Gautam Buddha Nagar, Uttar Pradesh, India, in accordance with the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. Subject to arbitration, the competent courts located in Gautam Buddha Nagar (Noida), Uttar Pradesh, with the High Court of Judicature at Allahabad having appellate/supervisory jurisdiction, shall have exclusive jurisdiction.
